Freedom of Information Act 2000 Request

Subject: Due diligence and decision-making records relating to the appointment of Tenbest Ltd as preferred developer for Offerton Precinct

Dear Freedom of Information Officer,

I am requesting information under the Freedom of Information Act 2000 relating to Stockport Council’s decision-making process concerning the appointment of Tenbest Ltd as preferred developer for the regeneration of Offerton Precinct and the Development Agreement entered into on or around 25 February 2009.

Please provide copies of the following documents:

  1. Developer selection and evaluation
  • The officer report(s) presented to the Executive/Cabinet or relevant decision-making body recommending Tenbest Ltd as preferred developer.
  • Any evaluation criteria, scoring documents, assessment matrices or comparative assessments used in selecting Tenbest Ltd.
  • Details of any alternative developers, bidders or development partners considered, including reasons for selection or rejection.
  1. Due diligence and financial assessment
  • Any due diligence reports, financial assessments, viability assessments or risk assessments carried out on Tenbest Ltd before the Council entered into the Development Agreement.
  • Any checks undertaken into:
    • Tenbest Ltd’s financial standing and ability to deliver the proposed regeneration;
    • its company structure and associated companies;
    • directors, shareholders or ultimate beneficial ownership;
    • previous development experience and track record;
    • sources of funding for the proposed development.
  1. Legal and contractual protections
  • The Development Agreement and any associated agreements entered into between Stockport Council and Tenbest Ltd.
  • Any legal advice or internal legal assessments concerning:
    • the risks of entering into the agreement;
    • developer default provisions;
    • performance obligations;
    • financial guarantees, bonds, indemnities or parent company guarantees.
  1. Risk management and monitoring
  • Any project risk registers, internal risk assessments or monitoring reports prepared before or immediately after appointment of Tenbest Ltd.
  • Any reports identifying concerns about delivery, funding, land ownership or developer capacity.
  1. Confidential or exempt information
    Where any documents or appendices were considered confidential or exempt from publication, please provide:
  • the title and date of each withheld document;
  • the relevant exemption(s) relied upon under the Freedom of Information Act;
  • a brief explanation of why the exemption applies;
  • any non-exempt sections that can be disclosed.

If any requested information is no longer held, please confirm this and provide details of when the information was disposed of and under what retention policy.
